Các Điều Khoản và Điều Kiện (sau đây gọi tắt là “Điều Khoản và Điều Kiện”) này áp dụng đối với ứng dụng TechCoop Connect (sau đây gọi là “Ứng Dụng”) dành cho thiết bị di động, được CÔNG TY CỔ PHẦN HỢP TÁC ĐẦU TƯ & CÔNG NGHỆ TECHCOOP (sau đây gọi là “TechCoop”) phát triển và cung cấp dưới hình thức dịch vụ miễn phí.
These Terms and Conditions (hereinafter referred to as the “Terms and Conditions”) apply to the TechCoop Connect app (hereby referred to as the “Application”) for mobile devices that was created by TECHCOOP INVESTMENT & TECHNOLOGY COOPERATION JOINT STOCK COMPANY (hereby referred to as the “TechCoop”) as a free service.
Khi tải xuống và sử dụng Ứng Dụng, Bạn mặc nhiên đồng ý với các quy định trong Điều Khoản và Điều Kiện này. Bạn được khuyến nghị đọc kỹ và hiểu rõ toàn bộ Điều Khoản và Điều Kiện này trước khi sử dụng Ứng Dụng.
Upon downloading and utilizing the Application, you are automatically agreeing to all the content in this Terms and Conditions. It is strongly advised that you thoroughly read and understand these Terms and Conditions prior to using the Application.
1. Định nghĩa và giải thích
Definitions
1.1. “TechCoop Group” có nghĩa là TechCoop và các công ty con, công ty trong cùng hệ sinh thái với TechCoop.
“TechCoop Group”: TechCoop and its subsidiaries and affiliated companies within the same ecosystem as TechCoop.
1.2. “Thành Viên TechCoop Group” có nghĩa là một pháp nhân trong TechCoop Group.
“TechCoop Group Member”: each entity individually in TechCoop Group.
1.3. “Nhà Cung Cấp” là các đối tác của TechCoop Group, được thành lập, hoạt động hợp pháp trên lãnh thổ Việt Nam và/hoặc các quốc gia khác, có ký kết các thỏa thuận (bao gồm nhưng không giới hạn các Hợp đồng Nguyên tắc, Hợp đồng mua bán hàng hóa) với Thành Viên TechCoop Group để cung cấp sản phẩm, dịch vụ cho Thành Viên Techcoop Group bán hoặc cung cấp lại cho các Khách Hàng.
“Supplier” means partner(s) of TechCoop Group, duly established and lawfully operating within the territory of Vietnam and/or other countries, who have entered into agreements (including but not limited to Principles Contract and Sale and Purchase Contract) with TechCoop Group Members for the purpose of supplying products and/or services to such Members for resale or further provision to Customers.
1.4. “Người Đại Diện” có nghĩa là người đại diện theo pháp luật của Khách Hàng theo thông tin đăng ký với cơ quan nhà nước có thẩm quyền.
“Legal Representative” means the legal representative of Customer as registered with the competent state authority
1.5. “Nhân Sự Phụ Trách” có nghĩa là nhân sự phụ trách thực hiện các công việc chuyên môn, nghiệp vụ trong quá trình thực hiện giao dịch với Thành Viên TechCoop Group theo chỉ định, phân công của Người Đại Diện.
“Designated Personnel” means the personnel assigned to perform professional and operational tasks in the course of carrying out transactions with the TechCoop Group Member, as designated and authorized by the Legal Representative.
1.6. “Chúng Tôi” có nghĩa là TechCoop và/hoặc Thành Viên TechCoop Group, tùy từng ngữ cảnh thể hiện.
“We”, “Us”, or “Our” means TechCoop and/or any TechCoop Group Member, depending on the context.
1.7. “Người Dùng” hoặc “Bạn” có nghĩa là pháp nhân sử dụng Ứng Dụng.
“User” or “You” means the entity using Application.
1.8. “Tài Khoản TechCoop” có nghĩa là tài khoản được TechCoop cấp cho Khách Hàng dùng để đăng nhập vào Ứng Dụng, để xem các thông tin liên quan đến giao dịch giữa Khách Hàng và Thành Viên TechCoop Group.
“TechCoop Account” means the account provided by TechCoop to the Customer for logging into the Application, which allows the Customer to view information relating to transactions between the Customer and the TechCoop Group Member.
1.9. “Giao Dịch KH Mua Hàng” có nghĩa là giao dịch mua hàng hóa giữa Thành Viên Techcoop Group (Bên Bán) và Khách Hàng (Bên Mua).
“Customer Purchase Transaction” means a transaction for the purchase of goods between the TechCoop Group Member (as the Seller) and the Customer (as the Buyer).
1.10. “Công Nợ” có nghĩa là khoản tiền mà Khách Hàng có nghĩa vụ phải thanh toán cho Thành Viên Techcoop Group tại từng thời điểm khi thực hiện Giao Dịch KH Mua Hàng.
“Outstanding” means the amount of money that the Customer is obligated to pay to the TechCoop Group Member at any given time in connection with the performance of Customer Purchase Transactions.
1.11. “Hạn Mức Công Nợ” có nghĩa là tổng giá trị công nợ tối đa mà các Thành Viên Techcoop Group cho phép Khách Hàng sử dụng để mua hàng hóa theo hình thức trả chậm, trả dần.
“Debt Limit” means the maximum total value of outstanding payables that the TechCoop Group Member permits the Customer to use for purchasing goods under deferred or installment payment arrangements.
1.12. “Hạn Mức Giao Dịch” Là giá trị tối đa của các Giao Dịch KH Mua Hàng mà Khách Hàng được phép thực hiện tại một thời điểm. Hạn Mức Giao Dịch được xác định trên cơ sở: Hạn Mức Công Nợ; Công Nợ.
“Transaction Limit” means the maximum value of Customer Purchase Transactions that the Customer is permitted to carry out at a given time. The Transaction Limit shall be determined based on the Debt Limit and the Outstanding.
1.13. “Thông Báo, Chỉ Dẫn Thanh Toán” có nghĩa là yêu cầu, hướng dẫn, lưu ý thanh toán mà Thành Viên TechCoop Group gửi đến Khách Hàng qua các kênh liên hệ, bao gồm nhưng không giới hạn email, văn bản, số điện thoại, mạng xã hội như Zalo, Ứng Dụng, …
“Payment Notices and Instructions” means payment requests, instructions, and reminders sent by the TechCoop Group Member to the Customer through communication channels including but not limited to email, written notices, telephone numbers, social media platforms such as Zalo, the Application, and other means.
2. Đăng ký và sử dụng Tài Khoản TechCoop
Registration and Use of the TechCoop Account
2.1. Số điện thoại di động của Người Đại Diện mà Khách Hàng cung cấp cho Thành Viên TechCoop Group (“Số Điện Thoại Đăng Ký”) được gắn liền với Tài Khoản TechCoop; và được sử dụng để xác nhận các hành vi của Khách Hàng trên Ứng Dụng. Khách Hàng nhận thức và chấp thuận rằng Số Điện Thoại Đăng Ký sẽ có giá trị pháp lý dùng để xác thực người thực hiện là Khách Hàng hoặc người được Khách Hàng ủy quyền. Khách Hàng xác nhận và đồng ý chịu toàn bộ rủi ro liên quan đến việc đăng nhập, phân công, thao tác trên Ứng Dụng qua Số Điện Thoại Đăng Ký. Khách Hàng đồng ý không hủy ngang về việc chịu trách nhiệm với tất cả các hành vi mà được thực hiện và/hoặc xác thực thực hiện qua Số Điện Thoại Đăng Ký.
The mobile phone number of the Legal Representative provided by the Customer to TechCoop Group Member (the “Registered Phone Number”) shall be linked to the TechCoop Account and used to authenticate the Customer’s actions on the Application. The Customer acknowledges and agrees that the Registered Phone Number shall have legal validity for the purpose of verifying that the person performing such actions is the Customer or a person duly authorized by the Customer. The Customer confirms and agrees to bear all risks associated with logging in, assigning tasks, and performing operations on the Application through the Registered Phone Number. The Customer irrevocably agrees to be fully responsible for all actions performed and/or authenticated through the Registered Phone Number.
2.2. Khách Hàng cam kết và bảo đảm tất cả thông tin, tài liệu Khách Hàng cung cấp là đầy đủ, trung thực và chính xác trong bất kỳ hoàn cảnh nào và cho phép Thành Viên TechCoop Group kiểm tra thông tin, tài liệu đã cung cấp với bất kỳ cá nhân hoặc tổ chức nào. Bất kỳ thay đổi trong thông tin của Khách Hàng liên quan đến Người Đại Diện, Số Điện Thoại Đăng Ký và các thông tin khác ảnh hưởng đến tình hình thanh toán Công Nợ phải được Khách Hàng thông báo ngay cho TechCoop. Khách Hàng hiểu và đồng ý rằng, trong trường hợp có sự khác biệt giữa thông tin của Khách Hàng thể hiện trên: (i) Phiếu đăng ký sử dụng sản phẩm, dịch vụ TechCoop và/hoặc hợp đồng, thỏa thuận ký với Thành Viên TechCoop Group và (ii) các giấy tờ, tài liệu khác do Khách Hàng cung cấp, thì Phiếu đăng ký sử dụng sản phẩm, dịch vụ TechCoop và/hoặc hợp đồng, thỏa thuận ký với Thành Viên TechCoop Group vẫn có hiệu lực. Thông tin theo Chứng minh nhân dân và/hoặc thẻ Căn cước công dân và/hoặc thẻ Căn ước của một cá nhân và/hoặc giấy tờ khác do Khách Hàng cung cấp là chính xác và ưu tiên áp dụng. TechCoop được quyền cập nhật/điều chỉnh thông tin trên Phiếu đăng ký sử dụng sản phẩm, dịch vụ TechCoop và/hoặc hợp đồng, thỏa thuận ký với Thành Viên TechCoop Group và/hoặc hồ sơ của Khách Hàng phù hợp với thông tin trên các giấy tờ, tài liệu do Khách Hàng cung cấp.
Customer represents and warrants that all information provided by Customer is complete, truthful and accurate under any circumstances and allows TechCoop Group Member to check the provided information, documents with any other person or organization. Any changes in Customer’s information related to the Legal Representative, phone number and other information affecting the Outstanding repayment situation must be notified to TechCoop immediately by the Customer. The Customer hereby acknowledges and agrees that, in the event of any discrepancy between the Customer information shown on: (i) the Application Form to Use TechCoop’s Product and Services and/or any contract or agreement entered into with a TechCoop Group Member; and (ii) other documents provided by the Customer, the Application Form to Use TechCoop’s Product and Services and/or any contract or agreement entered into with a TechCoop Group Member still be in full effect. The information according to the national identity card and/or the citizen identity card of any individual provided by the Customer is correct and prevails. TechCoop is entitled to update/amend the information on the Application Form to Use TechCoop’s Product and Services and/or any contract or agreement entered into with a TechCoop Group Member and/or the Customer’s profile in accordance with the information on documents provided by the Customer.
2.3. Khách Hàng có trách nhiệm bảo quản, bảo mật: tên đăng nhập, mật khẩu đăng nhập Tài Khoản TechCoop, các tài khoản khác được cấp trên các hệ thống của TechCoop (bao gồm nhưng không giới hạn, dù là trên website và/hoặc ứng dụng trên nền tảng hệ điều hành di động); mật khẩu xác thực giao dịch sử dụng một lần (OTP password) được TechCoop gửi đến tài khoản Zalo được đăng ký bởi Số Điện Thoại Đăng Ký của Khách Hàng; thông tin cá nhân định danh; thông tin giao dịch của Khách Hàng và các thông tin khác có tính chất tương tự có thể sử dụng để định danh, xác thực Khách Hàng (sau đây gọi chung là “Thông Tin Bảo Mật KH”).
Customers shall be responsible to protect and secure: username, password to log in TechCoop Accounts, other issued accounts on TechCoop’s systems (including but not limited to, whether on website and/or applications on mobile operating system platforms); one time password for transaction authentication (OTP password) sent by TechCoop to the Zalo account registered using the Customer’s Registered Phone Number; personal information; transaction information of Customers and the other information of similar nature that can be used to identify and authenticate Customers (hereinafter referred to as “Customer Confidential Information”).
2.4. Khách Hàng cam kết chịu trách nhiệm về các thiệt hại, tổn thất đối phát sinh trong trường hợp không bảo quản, bảo mật được Thông Tin Bảo Mật KH.
Customers undertake to be responsible for damages and losses arising in the absence of protection and secure Customer Confidential Information.
2.5. Khách Hàng cam kết không hủy ngang chịu toàn bộ rủi ro và thanh toán mọi chi phí phát sinh nếu Thông Tin Bảo Mật KH bị mất cắp/thất lạc/lộ/bị lợi dụng (“Sự Cố Mất Kiểm Soát”), trong thời gian từ khi phát hiện Sự Cố Mất Kiểm Soát đến thời điểm Khách Hàng thông báo Sự Cố Mất Kiểm Soát đến TechCoop, trừ trường hợp xác định được là do lỗi của TechCoop.
Customer irrevocably undertake to bear all risks and pay all expenses incurred if Customer Confidential Information is stolen/lost/disclosed/taken advantage of (“Uncontrolled Incident”), within the time when the Uncontrolled Incident is detected until Customer notify the Uncontrolled Incident to TechCoop, unless it is determined to be due to TechCoop’s fault.
2.6. Trong trường hợp Khách Hàng thay đổi, ngưng sử dụng hoặc bị mất quyền chiếm hữu, quản lý Số Điện Thoại Đăng Ký và/hoặc thay đổi Người Đại Diện, Khách Hàng có trách nhiệm thông báo ngay cho TechCoop. TechCoop không chịu trách nhiệm bồi thường thất thoát cho những hành vi được thực hiện trước khi Khách Hàng thông báo đến TechCoop về sự thay đổi, ngưng sử dụng hoặc bị mất quyền chiếm hữu, quản lý Số Điện Thoại Đăng Ký. Khách Hàng cam kết không hủy ngang sẽ chịu toàn bộ rủi ro và trách nhiệm đối với các hành vi mà được thực hiện và/hoặc xác thực thực hiện qua Số Điện Thoại Đăng Ký, cho đến khi Khách Hàng thông báo đến TechCoop về việc thay đổi, ngưng sử dụng hoặc bị mất quyền chiếm hữu, quản lý Số Điện Thoại Đăng Ký.
In case of change; suspension of use; or loss of ownership/possession of the Registered Phone Number and/or change the Legal Representative, the Customer shall immediately inform TechCoop. TechCoop is not liable in any manner for compensation of losses related to action made before Customer notifies TechCoop of any change; suspension of use; or loss of ownership/possession of the Registered Phone Number. Customer irrevocably undertakes to assume all risks and responsibility for actions which are performed and/or authenticated via the Registered Phone Number, until Customer notifies TechCoop of any change; suspension of use; or loss of ownership/possession of the Registered Phone Number.
3. Quyền lợi và trách nhiệm của Khách Hàng
Rights and responsibility of the Customer:
3.1. Khách Hàng có quyền yêu cầu TechCoop điều chỉnh, cập nhật thông tin trên Ứng Dụng theo các chứng từ Khách Hàng cung cấp.
The Customer has the right to request TechCoop adjust and update the information on the Application based on valid records and documents provided by the Customer.
3.2. Nghiêm cấm mọi hành vi sao chép trái phép, sửa đổi Ứng Dụng, bất kỳ phần nào của Ứng Dụng hoặc các nhãn hiệu của Chúng Tôi. Mọi nỗ lực trích xuất mã nguồn của Ứng Dụng, dịch Ứng Dụng sang ngôn ngữ khác hoặc tạo ra các phiên bản phái sinh đều không được phép. Toàn bộ nhãn hiệu, quyền tác giả, quyền đối với cơ sở dữ liệu và các quyền sở hữu trí tuệ khác liên quan đến Ứng Dụng vẫn thuộc quyền sở hữu của TechCoop.
Unauthorized copying, modification of the Application, any part of the Application, or our trademarks is strictly prohibited. Any attempts to extract the source code of the Application, translate the Application into other languages, or create derivative versions are not permitted. All trademarks, copyrights, database rights, and other intellectual property rights related to the Application remain the property of TechCoop.
3.3. Ứng Dụng lưu trữ và xử lý dữ liệu cá nhân mà Bạn đã cung cấp cho TechCoop Group theo phương thức và mục đích như được quy định trong Chính Sách Bảo Mật.
The Application stores and processes personal data that you have provided to the TechCoop Group in accordance with the methods and purposes as specified in the Privacy Policy.
3.4. Bạn có trách nhiệm bảo đảm an toàn cho thiết bị của mình và quyền truy cập vào Ứng Dụng. TechCoop khuyến cáo mạnh mẽ việc không “jailbreak” hoặc “root” thiết bị, tức là gỡ bỏ các hạn chế phần mềm do hệ điều hành chính thức của thiết bị áp đặt. Các hành vi này có thể khiến thiết bị của Bạn bị nhiễm mã độc, vi-rút, chương trình độc hại, làm suy giảm các tính năng bảo mật và có thể dẫn đến việc Ứng Dụng hoạt động không chính xác hoặc không hoạt động.
It is your responsibility to maintain the security of your phone and access to the Application. TechCoop strongly advises against jailbreaking or rooting your phone, which involves software restrictions and limitations imposed by the official operating system of your device. Such actions could expose your phone to malware, viruses, malicious programs, compromise your phone’s security features, and may result in the Application not functioning correctly or at all.
3.5. Nếu Bạn sử dụng Ứng Dụng ngoài khu vực có Wi-Fi, vui lòng lưu ý rằng các điều khoản sử dụng của nhà cung cấp mạng di động vẫn được áp dụng. Theo đó, Bạn có thể phát sinh chi phí dữ liệu từ nhà mạng hoặc các chi phí của bên thứ ba khác. Khi sử dụng Ứng Dụng, Bạn chấp nhận chịu trách nhiệm đối với mọi khoản chi phí phát sinh như vậy, bao gồm cả phí chuyển vùng dữ liệu nếu sử dụng Ứng Dụng ngoài lãnh thổ cư trú (ví dụ: khu vực hoặc quốc gia) mà không tắt chức năng chuyển vùng. Trường hợp Bạn không phải là người thanh toán hóa đơn cho thiết bị đang sử dụng, thì được hiểu rằng Bạn đã có sự cho phép của người thanh toán hóa đơn.
If you are using the application outside of a Wi-Fi area, please be aware that your mobile network provider’s agreement terms will still apply. Consequently, you may incur charges from your mobile provider for data usage during the connection to the application, or other third-party charges. By using the application, you accept responsibility for any such charges, including roaming data charges if you use the application outside of your home territory (i.e., region or country) without disabling data roaming. If you are not the bill payer for the device on which you are using the application, they assume that you have obtained permission from the bill payer.
3.6. Khách Hàng có trách nhiệm bảo quản, bảo mật Thông Tin Bảo Mật KH và chịu trách nhiệm về các thiệt hại, tổn thất phát sinh trong trường hợp không bảo quản, bảo mật được Thông Tin Bảo Mật KH.
The Customer shall be responsible for safeguarding and maintaining the confidentiality of the Customer Confidential Information and shall bear responsibility for any damages or losses arising from the failure to properly safeguard and maintain the confidentiality of such Customer Confidential Information.
3.7. Khách Hàng đồng ý chịu trách nhiệm toàn bộ các thiệt hại phát sinh do sai sót, sự bất cẩn của Khách Hàng hoặc do Khách Hàng không thực hiện đúng theo các quy định của bản Điều khoản và Điều kiện này, nội dung của Phiếu đăng ký sử dụng sản phẩm, dịch vụ TechCoop và/hoặc hợp đồng, thỏa thuận ký với Thành Viên TechCoop Group, các quy định, chính sách, thông báo khác được TechCoop Group thông báo đến Khách Hàng theo từng thời điểm.
The Customer agrees to be responsible for all damages incurred due to faults, negligence of Customer or due to Customer’s failure to comply with the Terms and Conditions, the contents of the Application Form to Use TechCoop’s Product and Services and/or any contract or agreement entered into with a TechCoop Group Member, other regulations, policies, notices that are or will be sent to Customers by the TechCoop Group from time to time.
4. Quyền và trách nhiệm của TechCoop
Right and responsibility of TechCoop
4.1. Mặc dù TechCoop luôn nỗ lực cập nhật và bảo đảm tính chính xác của Ứng Dụng, nhưng vẫn phụ thuộc vào thông tin do bên thứ ba cung cấp để hiển thị cho Bạn. Do đó, TechCoop không chịu trách nhiệm đối với bất kỳ tổn thất nào, dù trực tiếp hay gián tiếp, phát sinh từ việc Bạn hoàn toàn dựa vào các chức năng này của Ứng Dụng.
Although TechCoop strives to ensure it is updated and accurate at all times, they do rely on third parties to provide information to them so that they can make it available to you. Therefore, TechCoop accepts no liability for any loss, direct or indirect, that you experience as a result of relying entirely on this functionality of the application.
4.2. TechCoop có thể cập nhật Ứng Dụng vào một thời điểm nhất định. Các yêu cầu đối với hệ điều hành (và các hệ thống khác mà TechCoop quyết định mở rộng khả năng cung cấp Ứng Dụng) có thể thay đổi và Bạn sẽ cần tải các bản cập nhật nếu muốn tiếp tục sử dụng Ứng Dụng. TechCoop không bảo đảm rằng Ứng Dụng luôn được cập nhật để phù hợp với nhu cầu của Bạn và/hoặc tương thích với phiên bản hệ điều hành cụ thể đang cài đặt trên thiết bị của Bạn. Tuy nhiên, Bạn đồng ý luôn chấp nhận các bản cập nhật khi được cung cấp.
TechCoop may wish to update the application at some point. The application is currently available as per the requirements for the operating system (and for any additional systems they decide to extend the availability of the application to) may change, and you will need to download the updates if you want to continue using the application. TechCoop does not guarantee that it will always update the application so that it is relevant to you and/or compatible with the particular operating system version installed on your device. However, you agree to always accept updates to the application when offered to you.
4.3. TechCoop cam kết nỗ lực để đảm bảo Ứng Dụng mang lại lợi ích và hiệu quả cao nhất. Theo đó, TechCoop có quyền sửa đổi Ứng Dụng hoặc thu phí dịch vụ vào bất kỳ thời điểm nào và vì bất kỳ lý do gì. TechCoop đảm bảo rằng mọi khoản phí (nếu có) liên quan đến Ứng Dụng hoặc dịch vụ sẽ được thông báo rõ ràng đến Bạn và phù hợp với quy định của pháp luật hiện hành.
TechCoop is dedicated to ensuring that the Application is as beneficial and efficient as possible. As such, they reserve the right to modify the Application or charge for their services at any time and for any reason. TechCoop assures you that any charges for the Application or its services will be clearly communicated to you and in compliance with applicable laws and regulations.
4.4. TechCoop không chịu trách nhiệm đối với một số khía cạnh nhất định. Một số chức năng của Ứng Dụng yêu cầu kết nối Internet đang hoạt động, có thể thông qua Wi-Fi hoặc mạng di động của TechCoop viễn thông. TechCoop không chịu trách nhiệm nếu Ứng Dụng không thể hoạt động đầy đủ do không có kết nối Wi-Fi hoặc do Bạn đã sử dụng hết dung lượng dữ liệu.
TechCoop does not assume responsibility for certain aspects. Some functions of the Application require an active internet connection, which can be Wi-Fi or provided by your mobile network provider. TechCoop cannot be held responsible if the Application does not function at full capacity due to lack of access to Wi-Fi or if you have exhausted your data allowance.
4.5. TechCoop cũng có thể ngừng cung cấp Ứng Dụng và chấm dứt quyền sử dụng của Bạn vào bất kỳ thời điểm nào mà không cần thông báo trước. Trừ khi có thông báo khác, khi việc chấm dứt xảy ra: (a) các quyền và giấy phép được cấp cho Bạn theo các điều khoản này sẽ chấm dứt; (b) Bạn phải ngừng sử dụng Ứng Dụng và (nếu cần) xóa Ứng Dụng khỏi thiết bị của mình.
TechCoop may also wish to cease providing the application and may terminate its use at any time without providing termination notice to you. Unless they inform you otherwise, upon any termination: (a) the rights and licenses granted to you in these terms will end; (b) you must cease using the application, and (if necessary) delete it from your device.
5. Thay đổi Điều khoản và Điều kiện
Changes to These Terms and Conditions
5.1. TechCoop có thể định kỳ cập nhật các Điều khoản và Điều kiện. Do đó, Bạn được khuyến nghị thường xuyên kiểm tra trang này để cập nhật các thay đổi. Mọi thay đổi sẽ được TechCoop thông báo bằng cách đăng tải phiên bản Điều khoản và Điều kiện mới trên Ứng Dụng.
